Cap Table

A spreadsheet or database showing a company's ownership structure -- who holds what type of equity, at what price, with what preferences and restrictions. A clean cap table is essential for fundraising, M&A, and employee option grants. Messy cap tables (missing option grants, unclear conversion terms, unresolved SAFEs) create deal friction and can delay or kill transactions.
