Preferred Shares

A class of equity with rights that take priority over common stock -- typically liquidation preferences, anti-dilution protections, and board seats. Venture investors almost always receive preferred shares. The specific terms (participation rights, dividend preferences, protective provisions) determine how value gets distributed in a sale. Reading the Certificate of Incorporation matters more than reading the press release about the funding round.
